Terms of Service

Important: Please read these Terms of Service carefully before using BuilderBox. By registering for an account or using our services, you agree to be bound by these terms.

1. Acceptance of Terms

By accessing or using BuilderBox ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years of age, or if you are between 13 and 18 years of age, that you have obtained parental or guardian consent to use the Service.

2. Description of Service

BuilderBox is a developer productivity platform that provides tools for task management, document creation, code snippet storage, and coding activity tracking. The Service includes:

  • Task Management: Project boards, tasks, subtasks, and calendar integration
  • Documentation: Markdown documents with wiki-style linking
  • Code Snippets: Storage and organization of code snippets
  • Coding Activity Tracking: Integration with IDE plugins and CLI tools to track coding activity
  • API Access: REST API and MCP (Model Context Protocol) server for third-party integrations

3. CLI and MCP Integration Terms

BuilderBox offers optional command-line interface (CLI) tools and MCP server integrations that monitor your local coding activity. By installing and using these tools, you explicitly consent to:

  • Collection of file paths and file names you edit
  • Collection of project and repository names
  • Collection of programming languages used
  • Collection of editor/IDE information
  • Collection of operating system information
  • Collection of timestamps and duration of coding sessions
  • Collection of line counts and cursor positions
  • Collection of git branch names (if applicable)

You control what data is sent. You may disable the CLI/MCP integration at any time by uninstalling the tools or revoking your API key in account settings. The CLI tools only send metadata about your coding activity—they do not transmit the actual contents of your files.

4. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms.

You are responsible for safeguarding the password and API keys that you use to access the Service and for any activities or actions under your account. You agree not to disclose your password or API keys to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You may not use as a username the name of another person or entity that is not lawfully available for use, or a name or trademark that is subject to any rights of another person or entity without appropriate authorization.

5. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others, including intellectual property rights
  • Transmit any material that is defamatory, offensive, or otherwise objectionable
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service
  • Use the Service for any illegal or unauthorized purpose
  • Upload or transmit viruses, malware, or other malicious code
  • Collect or harvest any information from other users without consent
  • Use automated scripts to access the Service without our express permission
  • Resell, sublicense, or commercially exploit the Service without authorization

6. Intellectual Property

Your Content: You retain all rights to the content you create, upload, or store using the Service, including tasks, documents, code snippets, and any other user-generated content. By using the Service, you grant BuilderBox a limited license to store, process, and display your content solely for the purpose of providing the Service to you.

Our Platform: The Service and its original content (excluding user content), features, and functionality are and will remain the exclusive property of BuilderBox. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without prior written consent.

7. Service Availability

We strive to provide reliable service, but we do not guarantee that the Service will be available at all times. The Service may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BUILDERBOX, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content
  • Loss or corruption of data
  • Any bugs, viruses, or other harmful code transmitted through the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

9. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

BuilderBox does not warrant that: (a) the Service will function uninterrupted, secure, or available at any particular time or location; (b) any errors or defects will be corrected; (c) the Service is free of viruses or other harmful components; or (d) the results of using the Service will meet your requirements.

YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

10. Indemnification

You agree to defend, indemnify, and hold harmless BuilderBox and its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Service
  • Your violation of any rights of a third party
  • Any content you submit to the Service

11. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us or using the account deletion feature in settings. Upon termination, we will delete your account and associated data within 30 days, except as required to comply with legal obligations, resolve disputes, or enforce our agreements.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Binding Arbitration: Any dispute arising from or relating to these Terms or the Service shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English and take place in San Francisco, California. The arbitrator's decision shall be final and binding.

Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between us individually. To the full extent permitted by law, (a) no arbitration or proceeding shall be joined with any other; (b) there is no right or authority for any dispute to be arbitrated on a class-action basis; and (c) there is no right or authority for any dispute to be brought in a purported representative capacity.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect by posting notice on the Service or sending an email to the address associated with your account.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

14. Severability and Entire Agreement

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

These Terms, together with the Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and BuilderBox concerning the Service and supersede all prior agreements and understandings.
